Terms of Service

These Terms of Service ("Terms") govern your use of mattymoe.ai (the "Site") and the email newsletter, playbook, and any related content or services (collectively, the "Services") operated by Matt Moran ("we," "us," or "our"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

The plain-English version: Use the newsletter and playbook in good faith. The content is for educational purposes, not professional advice. We're not liable if you implement something incorrectly. You can leave any time. We can update these terms; if we make material changes, we'll tell subscribers.

1. Eligibility

You must be at least 13 years old to use the Services. If you are between 13 and 18 (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian. By using the Services, you represent that you meet these requirements.

2. The Services

mattymoe.ai provides:

An email newsletter sent on a recurring basis (typically Tuesdays), covering AI tools, workflows, and operator-focused content.
A free playbook hosted publicly on Notion, accessible after email subscription.
Articles, prompts, templates, and other resources published on the Site.
Optional services (e.g., paid tiers, consulting, sponsorship) that may be offered in the future and governed by additional terms at that time.

3. Your account and subscription

You provide an email address (and optional details) to subscribe. You agree to provide accurate information.
You may unsubscribe at any time using the one-click link in any email footer or by emailing matt@mattymoe.ai.
We may terminate or suspend access to the Services at our discretion, including for abuse, fraud, or violation of these Terms.

4. Acceptable use

You agree NOT to:

Scrape, harvest, or collect content or subscriber data without permission.
Use the Services to send spam, harass, defame, or harm anyone.
Reverse engineer, decompile, or attempt to derive source code from the Site.
Use automated systems (bots, crawlers) in a way that overburdens the Site or violates the technical limits of the Services.
Resell, redistribute commercially, or rebrand the newsletter or playbook content as your own.
Impersonate mattymoe.ai or any person.
Use the Services for any illegal purpose or in violation of any applicable law.

5. Intellectual property

All content on the Site, in the newsletter, and in the playbook, including text, prompts, workflows, code samples, images, logos, and the MM monogram, is the property of Matt Moran or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

What you can do

Read, share, and quote reasonably for personal or educational use.
Forward newsletter emails to friends and colleagues.
Use prompts and workflows from the playbook for your own work, including commercial work, without attribution required. Operator-tier content is meant to be used.

What you cannot do

Republish full articles or substantial portions of the playbook to your own newsletter, blog, or platform without written permission.
Use our trademarks, logos, or brand name (mattymoe.ai, the MM monogram) in a way that suggests endorsement without permission.
Train AI models on our content without written permission.

6. User-submitted content

If you send us a reply, suggestion, testimonial, or other communication, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with operating and promoting the Services. We will not publicly attribute communications without your permission, except for content you clearly designate as public (e.g., a testimonial you tell us we can quote).

7. Disclaimers, IMPORTANT

The newsletter, playbook, and all content are provided for informational and educational purposes only. They are not professional advice and should not be treated as such.

Not financial advice. We are not investment advisors, accountants, or financial planners. Anything we say about money, business outcomes, or income is for illustration only.
Not legal advice. We are not lawyers. Consult a qualified attorney for legal matters.
Not professional advice. Content related to AI deployment, marketing, business operations, or career decisions is based on personal experience and observation, not professional credentials.
No guarantees. AI tools and the tech landscape change constantly. We make no guarantee that prompts, workflows, or strategies described will work for your situation or produce specific results.
Third-party tools. We may recommend or reference third-party tools (Claude, ChatGPT, Beehiiv, etc.). We are not responsible for those tools or their terms. Use them at your own risk.

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

8. Limitation of liability

To the maximum extent permitted by law, in no event shall Matt Moran or mattymoe.ai be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or any other commercial damages or losses, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to the Services shall not exceed the greater of (a) the amount you have paid us in the past twelve months (if any) or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Matt Moran and mattymoe.ai from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party right.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Services at any time by unsubscribing. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

11. Governing law and dispute resolution

These Terms are governed by the laws of the State of [YOUR STATE], United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in [YOUR COUNTY], [YOUR STATE], and you consent to the personal jurisdiction of such courts.

You and we agree to first attempt to resolve any dispute informally by contacting matt@mattymoe.ai. If we cannot resolve the dispute within thirty (30) days, either party may proceed with a formal claim.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top. For material changes, we will notify subscribers by email or a prominent notice on the Site. Continued use of the Services after changes means you accept the updated Terms.

13. Miscellaneous

Entire agreement. These Terms, along with the Privacy Policy, constitute the entire agreement between you and us regarding the Services.
Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
No waiver. Our failure to enforce any right or provision does not waive that right.
Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
